1. Introduction Company Secretary is a responsible administrative officer in a company that is why he has to focus on the authority and responsibility. What is authority of a Secretary ? With reference to this context we can say that there is no specification of the authority of Secretary in Companies Act. But it is also true that without authority a person will not be able to fulfill his responsibility. Thus, in order to fulfill the authority the board of directors has to provide authority to the secretary.
2. Authority (power) of the Secretary : Normally the board of directors give the following authority to the secretary:
(1) Authority to register the necessary document : The secretary has been given authority to register the necessary document with the registrar of the company.
(2) Authority of keep control and look after : The secretary has the authority to look after and control the various department of the company as he is the head of office administration.
(3) Secretary is authorized to sign the documents : The company secretary is authorized to sign the letters related to allotment of shares, calls on shares, forfeiture of share, share transfer etc. on behalf of the company.
(4) Authority to do correspondence : The secretary undertakes correspondence with different parties on behalf of the company.
(5) Authority to work as an agent : The secretary is authorized to work as agent of the company as per the instruction given by board of directors:
(6) Company is responsible for Secretary : The company is responsible for the act done by secretary as per the power assigned by board of director.
(7) Authorised to work as per board : Secretary is only authorized to execute the work as per direction of Board. That means those work which are specified into the contract or resolution, secretary has authority to work accordingly.
